South Dakota Registered Agent Rules: Who Can Serve and Statute (2026)
No registered agent, no LLC. South Dakota bakes the appointment into the Articles of Organization via SDCL 47-34A-203(a)(3) and governs the role through SDCL ch. 59-11, its version of the Model Registered Agents Act. Here is who can take the job, the single arrangement the law rejects, and what a switch runs you.
Three Ways to Fill the Seat
SDCL 59-11-6 gives an LLC three options for its agent appointment:
- Commercial registered agent. A professional agent on the state's list under SDCL 59-11-7, referenced on filings by CRA number. This is what we are.
- Noncommercial registered agent. An individual at a South Dakota address, or an entity authorized here. Individuals need to be 18 or older and South Dakota residents.
- A designated office title. Under SDCL 59-11-6(2)(b), the company may name a position within itself, and whoever holds that title at any given moment is the one who receives service.
The One Arrangement the Statute Rejects
An LLC cannot write its own name into the agent line; the entity naming the entity is off the table. Everything short of that circle works. A member or officer who lives in South Dakota can serve personally as a noncommercial agent, and the office-title route above keeps receipt of lawsuits inside the company without naming any specific person. So serving yourself is genuinely allowed here, just never in the company's own name.

The state's paperwork underlines the point by requiring an "Actual Street Address in this State" before offering an optional mailing address line. Someone also has to be present during normal business hours, since an agent nobody can hand papers to is no agent at all.

The filing is the Statement of Change of Registered Office or Registered Agent or Both, and the statutory fee under SDCL 59-11-3(3) is $10 when filed electronically.
